In the event that any of the Products or materials furnished hereunder is in Developer's opinion likely to or does becomes the subject of a claim,suit,proceeding or demand for patent,copyright,trade secret,trade mark,contractual right or obligation or other industrial or intellectual property right infringement,Developer shall at its expense,either procure for Customer the right to continue using,or to replace or modify the Products and related materials so they become non-infringing provided such modified Products and related materials continue to conform to all the specifications and requirements for the Products hereunder; or,if such remedies are not reasonably available within sixty (60) days of the institution of any such claim,suit,proceeding or demand,refund Customer for all amounts paid in relation to the Products and materials involved and the cost to Customer of all items whose use is affected by the removal of such items,and accept their return.If Customer does not consent to such removal,notwithstanding the above,Customer may continue using same provided Customer agrees to undertake at its own expense the defense of any action against Customer and to indemnify Developer in respect of any costs or damages attributable to such continued use and Developer may participate at its expense in the defense of any such action if such claim is against Developer.
