1.A Sears Branded Products. Seller will include in each Product package a customer warranty pre-approved in writing by Buyer, with such terms and conditions as Buyer may require from time to time (“Sears Branded Product Warranty”). For those Products purchased without a Seller provided Warranty service as indicated on Exhibit A, Seller will not be liable to Buyer for the cost of warranted repairs and warranted product replacements under the Sears Branded Product Warranty, except with respect to Excess Service Call payments and Catastrophic Failure payments under this Agreement.1.B Seller Branded Products. In addition to Buyer’s rights under this Agreement and the UTC, each Seller Branded Product will be covered by Seller’s customer warranty (“Seller Branded Product Warranty”), providing for the full repair or replacement by Seller, at Seller’s discretion and full expense, of any defective Seller Branded Product. The Warranty for each Seller Branded Product will be identical to the warranty Seller provides to other customers on such Seller Branded Products unless (i) Seller has first offered the different warranty to Sears on the same terms Seller is offering the different warranty to other customers and (ii) Sears has rejected those terms. Seller will include a copy of the applicable Seller Branded Product Warranty with each Seller Branded Product. Each Seller Branded Product Warranty will extend for the warranty period as set forth on Seller Branded Product Warranty following the applicable Product’s delivery to a Buyer’s customer. Sears Branded Product Warranty and Seller Branded Product Warranty will be individually and/or collectively, referred to herein as “Warranty.”
